… in the PPU and OPZ, under the basic contract and under the Option. 4.1.3. Task No 3 – provision of Modification and Development of the SODiR 3.0 System within the maximum limit of 60 000 Operating Hours. Task No 3 will be carried out in the Option. hereinafter referred to as ‘Subject of the Agreement’, ‘Subject of the Order’. 4.1.4. As part of the implementation of the Subject of the Contract, the Contractor also undertakes to: 4.1.4.1. provide the Purchaser with guarantees and warranties under the conditions described in detail in Section 12 of Appendix n r 2 to the FTZ; 4.1.4.2. transfer to the Ordering Party the proprietary copyrights and dependent rights to the Works created or delivered during the performance of the Agreement on the terms and conditions described in detail in Section 18 of Appendix n r 2 to the FTZ; 4.1.4.3. provide the Ordering Party with licences to use the Works, on the terms and conditions described in detail in Section 18 of Appendix No. 2 to the SWZ. 4.1.5. Detailed Description of the Subject of the Order, including ATiK, MR and the manner of their implementation are determined by the provisions of the Agreement (Annex No 2 to the FTZ), including in particular the OPZ (Annex No 1 to the Agreement) and its annexes. 4.1.6. For the avoidance of doubt, the Parties confirm that, with regard to Implementation, the interests of the Ordering Party will be satisfied only as a result of providing it with a complete, fully functional SODIR 3.0 System together with the Post-implementation Documentation, which constitutes the work – and only in this case will the Implementation Agreement be properly performed. 4.1.7. Details of the Options can be found in the Draft provisions of the Agreement, which will be inserted in the content of the Public Procurement Agreement hereinafter referred to as the ‘PPU’. 4.2. The detailed description of the subject-matter of the contract and the manner in which it is to be carried out are set out in Annex 1 to the FTZ, together with the annexes thereto, together with the description of the subject-matter of the contract and the annexes thereto (‘the FTZ’) and Annex 2 to the FTZ (the FTZ). 4.3. The Employer requires the employment by the Contractor or Subcontractor on the basis of an employment contract of a person/persons performing activities related to day-to-day service, in particular consisting in receiving and recording correspondence, keeping a schedule of meetings, the performance of which consists in performing work in the manner specified in Article 22(1) of the Labour Code Act of 26 June 1974. (This obligation does not apply if these works will be carried out independently and personally by natural persons conducting business activity in the form of so-called self-employment as Subcontractors). Details on how to document employment and control compliance by the Contractor or Subcontractor with the requirements for employment under an employment contract and provisions on penalties for non-compliance with the above-mentioned requirements are contained in the provisions of the PPU.
