DFOS monitoring contract of Autobahn GmbH – Overview of procurement and contractual conditions

The input text concerns a German public procurement procedure under the Unterschwellenvergabeordnung (UVgO) for a DFOS-Monitoring-Leistung an Bauwerken der Bundesautobahn A7 (Project ‘NOW‐2026‐0406 DFOS-Monitoring TB‐Welkers A7 ASB5524535’) under the responsibility of Autobahn GmbH des Bundes, Niederlassung Nordwest.

These are delivery/services in road and bridge construction with reference to German regulations (VOL/B, ZVB(VOL)-StB, ZTV-SA, RSA, MVAS) and EU law (in particular Article 5k of Regulation (EU) No 833/2014 on Russia sanctions).

The point of view is clearly that of a German contracting authority; other countries are mentioned only indirectly, such as Russia as the addressee of sanctions and EEA/WTO States in relation to eligible guarantors.

On the subject of "What the tenderer must submit and minimum requirements", the conditions of application, self-declarations and additional forms govern the certificates of suitability.

Tenderers must submit their tenders in German on the forms provided, in particular by completing the specifications in full (all coloured fields, prices net of VAT, uniform euro data).

As a preliminary proof of suitability, either the ‘self-declaration of suitability’ or an ESPD must be submitted, with information on grounds for exclusion (GWB §§ 123, 124), taxes/social security contributions, insolvency, registration in the professional register, minimum turnover and, if applicable, balance sheet information, as well as an assurance that a certain minimum level of professional/business liability insurance will be taken out.

Technical and professional capacity shall be represented by references of comparable performance, information on technical specialists, technical equipment, quality assurance, investigation and research opportunities and supply chain management.

In addition, project-related documents such as design, installation, cabling and hardware/data transmission plans, a brief description of the installation phases (including traffic control and access technology) and an exemplary timetable in table form are required.

In addition, there is a separate EU self-declaration pursuant to Article 5k of Regulation (EU) No 833/2014 for all tenderers/members of consortia to exclude Russia-related companies and, if necessary, declarations of commitments on economic suitability loan and on services provided by subcontractors.

The Tender Specifications refer to technical specifications (standards, etc.) ‘or equivalent’ and identify billing units (e.g. pieces, meters, m2, hours, flat rates).

The specific quantity framework and the partial services are set out in the detailed schedule of services/LV annex (here only schematically indicated, e.g. items with ‘Quantity: 1 piece).

Locally, the contract is assigned to the Nordwest branch of Autobahn GmbH; Billing and billing address is Gradestraße 18, 30163 Hannover; Jurisdiction depends on the seat of the competent branch.

In time, it is planned to: implementation of detailed planning in early spring 2027, completion of installation performance in summer 2027 and subsequent two-year monitoring period until summer 2029; Start and completion deadlines are set in working days (placeholders are provided in the form).

The award criteria and their weighting are clear: The award will be made by open procedure with the award criterion ‘price’.

The specifications shall include a ‘rating scheme’ with a criterion weighting of 1 ‘Price 100 %’; In addition, the invitation to tender confirms that: ‘Price award criterion’ with determination of a valuation sum from the recalculated tender sum taking into account more favourable basic/choice positions as well as an unconditionally granted discount.

Other award criteria could theoretically be ticked in the form "Weighting of award criteria"; at the same time, however, reference is made explicitly to the price as the only relevant award factor.

Subsidiary tenders are explicitly not allowed (‘subsidiary tenders are not allowed; No. 5 of the conditions of application does not apply"), so that the competition is purely priced via main offers.

Risks and special conditions include, in particular, contractual penalties, tariff compliance, compliance and subcontractor regulations as well as invoicing and guarantee arrangements.

The special conditions of the contract provide for penalties for exceeding the deadline for the start/completion/individual deadlines, limited to a total of 5% of the billing amount; the exact percentage amount per day must be entered in the form.

Guarantees for the performance of the contract are expressly not required (“Guarantees for the performance of the contract shall amount to 5% ...: No’), but general guarantee rules of the ZVB(VOL)-StB apply, such as use of client forms, joint and several guarantee, waiver of objections and requirements for guarantors from EU/EEA/WTO countries.

The tariff compliance conditions (BTTG reference) oblige the contractor to comply with collectively agreed/statutory working conditions, documentation and proof obligations (e.g. time sheets, payroll statements), guarantee obligations vis-à-vis subcontractors/lenders and provide for remedial orders and contractual penalties in the event of infringements.

The compliance clause regulates further corruption, money laundering, human rights and environmental protection obligations and allows resignation/termination for good cause as well as a contractual penalty of 5% of the contract price in the event of serious violations of the law or agreements restricting competition.

Subcontractors and aptitude loan are permitted according to the application conditions and ZVB(VOL)-StB, but require designation of the partial services, aptitude certificates, declarations of commitment and exchange in case of exclusion grounds; Changes in the sub-contractor chain shall be notified without delay.

Subsidiary tenders that would nevertheless be submitted would be excluded from the evaluation according to the conditions.

The ZVB(VOL)-StB generally specify the VOL/B regulations, for example on the price definition (unit price is decisive, also in the case of calculation deviations), on technical regulations as supplementary contractual conditions or to document the masses according to weighing certificates and control weighings; they shall apply unless special contractual conditions provide otherwise.

For invoice formats, both XRechnung (mandatory under the E-Invoice Regulation) and PDF/paper can be used; the ‘Further Specific Terms and Conditions’ clarify that digital XRechnung is the legal standard via the CSO RE portal, while PDF/paper is only accepted in compliance with the above address/format requirements.

In total: In the event of ambiguity in the procurement documents, Section 1 of the Conditions of Application requires the tenderer to inform the contracting authority in writing before submitting a tender in order to obtain binding information or corrections.
