1. The subject of this contract is the supply of two brand new, unused passenger cars in the form of an operating lease with purchase, under the conditions specified in the Material provisions of the contract, constituting Annex 4 to the ToR. 2. A detailed description of the subject-matter of the contract and the minimum technical requirements for each vehicle are set out in the Description of the subject-matter of the contract, which constitutes Annex 2 to the ToR. 3. The Contractor is obliged to present the calculation of the price of the offer and the terms of financing the lease in the Offer Form, constituting Annex 1 to the tender specification. … understood as the functional, performance, quality and performance requirements applicable to each vehicle. 5. The names of systems, functions and systems used in Annex 2 to the ToR are descriptive. The contracting authority shall accept equivalent solutions differing in trade description, construction or method of implementation, if they ensure at least the same operational effect, level of safety and comfort of use. 6. The contracting authority requires the offer of two vehicles of the same model and the same version that meet all the requirements of the ToR. Offered vehicles must be brand new, unused, complete, free from legal and physical defects and come from official distribution to the Polish market or the European Union, with full approval and documentation in Polish. 7. The contracting authority requires that the contract be carried out in the following financing model: 1) operating leasing settled in PLN; 2) Basic Lease Period: 36 months from the date of signature of the last acceptance report without reservations; 3) initial fee: 10% of the net value of the leased asset; 4) 35 monthly leasing installments payable per month; (5) Final redemption: 1% of the net value of the leased asset, plus VAT due; 6) variable interest based on the WIBOR 1M index and the Contractor's fixed margin; the Contractor will accept the value of WIBOR 1M from the date of publication of the contract notice for the preparation of the tender; 7) no additional handling fees, preparatory commissions, administration fees, lease start-up fees, contract service fees, early repayment fees and property transfer fees, in addition to the costs expressly provided for in the tender specifications and the offer; 8) the cost of the offer includes at least: delivery of two vehicles, their registration, leasing financing, OC/AC/NNW/Assistance insurance for both vehicles throughout the leasing period, sets of documents, two sets of wheels for each vehicle, warranty benefits, inspection package and transfer of ownership after purchase; 9) if the Contractor uses the general terms and conditions of the leasing agreement or the standard contract, these documents may be used only to the extent not inconsistent with the Terms and Conditions, the offer and the Material provisions of the agreement; in the event of contradiction, the provisions of the ToR and the contract shall prevail.
