1. The subject-matter of the contract is the supply of brand-new suspension spring components for Metropolis 98B metro cars between 2028 and 2030 (also referred to as ‘parts’). 2. The scope of the subject of the contract includes the delivery of parts divided into 3 tasks. The names and quantities of the parts for each task are indicated in the ‘List of ordered parts’ attached as Annex 1 to the Technical Specifications (hereinafter: ‘ST’), which forms Annex 1 to the ToR and forms an integral part thereof. 3. The Ordering Party requires the execution of the Subject of the Order in lots, according to the delivery schedule and in the quantities indicated in Annex 1 to the ST. A maximum of two partial deliveries are allowed within one lot. 4. The delivered Item of the Order must be brand new, unused (by brand new, unused is understood as spare parts originally packed, without traces of use).…

… 5. The Contractor shall provide a 36-month guarantee for the delivered parts under the conditions indicated in the model contract. During the period equal to the period of the guarantee granted by the Contractor, the subject of the contract will be covered by the warranty for defects. 6. The subject of the Order will be carried out in accordance with the documentation of the procedure, i.e.: this ToR and its annexes, in particular the ToR and the model contract (Annex 2 to the ToR). 7. The Ordering Party is not able to describe the Subject of the Order in the manner referred to in Art. 4 of the Public Procurement Act, i.e. without indicating trademarks, therefore the spring elements of the suspension specified in Annex 1 to the ST were described using the part manufacturer's / subway vehicle manufacturer's catalogue numbers in which the part was mounted. The use of the manufacturer's catalog numbers is justified by the specificity of the subject of the order. In the light of the above, in accordance with Article 99(1)(b) CTMR, 5 of the Public Procurement Act, the Ordering Party allows the submission of an offer for products equivalent to those indicated by the Ordering Party. Where equivalent parts are offered: 1) they must have the same characteristics as the original parts, while meeting the functional requirements of the original parts and be compatible with the other components of the vehicle, 2) the use of equivalent parts must not result in a high risk of change, which means that changes as a result of the use of equivalent parts must be reversible and in the event of failure generate low consequences of failure, 3) The contracting authority requires that the manufacturer of equivalent parts has implemented a Quality Management System in his company, 4) The contractor is responsible for the risk of their entry into service and for defects in the offered equivalent parts. Contractor who offers to supply equivalent parts: - declare in the tender form that it offers and delivers equivalent parts, - indicate in the tender form the items from Annex 1 to the TS for which it offers equivalent parts, - include in the tender form data on the offered equivalent parts, i.e. names of equivalent parts, manufacturers of equivalent parts, catalogue number/markings of equivalent parts, whereby the Contractor is obliged to describe the offered equivalent parts in the tender in a way that allows the Contracting Authority to unambiguously determine which equivalent parts the Contractor offers in a given item of the tender form, - together with the tender it will present the means of proof in question, i.e.: a copy of the Quality Management System implementation certificate, issued by the accreditation body, for the manufacturer of the equivalent parts offered, in accordance with point 2.3(b) of point ST; a copy of the assessment of the significance of the change (by itself and at its own expense) for the equivalent parts offered. The result of such assessment shall be that it is qualified as a non-substantial, non-safety related change. Based on the assessment of the significance of the change, the contractor will submit a declaration (in accordance with Annex 4 to the TS) confirming the following equivalence criteria: the reversibility of the change and the consequences of the failure are low –
