What the buyer is looking for
Article 2.32(1)(b)(2) of the Civil Code is invoked: no competition for technical complexity and financial reasons. The municipality of Helmond has a current agreement with Visma Circle B.V. and wants to continue it. Prior to that announcement, the municipality of Helmond carried out a market survey which concluded that, in the given circumstances, only one party can actually perform the contract without unacceptable risks to the continuity of the service. The migration trajectory and the associated (level of) migration and transition costs lead to a special circumstance that there is no reasonable alternative or substitute.
